Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of the PinayKlaw platform ("we," "our," or "the Platform") operated at pinayklaw.com. By creating an account or using the Platform in any way, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

1. Eligibility

To use the Platform, you must:

• Be at least 18 years of age. By registering, you represent and warrant that you are 18 years old or older. The Platform reserves the right to verify your age at any time and to immediately terminate accounts found to belong to individuals under 18.
• Provide a valid, active email address that you own and control.
• Have the legal capacity to enter into a binding agreement in your jurisdiction of residence.
• Not have been previously banned or removed from the Platform for violating these Terms.

2. Account Types and Registration

The Platform supports two types of user accounts:

2.1 Model Accounts

Model accounts are for verified Filipina content creators who wish to publish and monetize content on the Platform. All model accounts require administrator approval before activation. Applicants must complete identity verification, including submission of a valid government-issued identification document and a selfie for identity confirmation. The Platform reserves the sole and absolute right to approve or deny any model application for any reason, and approval decisions are final and not subject to appeal.

2.2 Client Accounts

Client accounts are for users who wish to browse, subscribe to, and interact with model content. All client accounts require administrator approval before activation. The Platform reserves the right to approve or deny any client registration at its sole discretion without providing reasons.

2.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized access to or use of your account. The Platform is not liable for any loss or damage arising from your failure to protect your login credentials.

3. User Responsibilities

By using the Platform, you agree to:

• Provide accurate, current, and complete information during registration and keep your profile information up to date at all times.
• Not upload, post, or transmit any content that is illegal, obscene involving minors, non-consensual, defamatory, or that violates the rights of any third party.
• Not engage in harassment, threats, bullying, intimidation, or abusive behavior toward any user, model, or Platform staff member.
• Not impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Not use the Platform for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Platform.
• Not attempt to gain unauthorized access to any portion of the Platform, other user accounts, or any systems or networks connected to the Platform.
• Not use any automated means, including bots, scrapers, or crawlers, to access or collect data from the Platform without express written permission.
• Not redistribute, re-sell, screen-capture, record, or otherwise reproduce any content from the Platform without the explicit written consent of the content owner and the Platform.
• Comply with all applicable local, national, and international laws and regulations while using the Platform.

4. Content Ownership and Licensing

Models retain full ownership of all original content they upload to the Platform. By uploading content, models grant PinayKlaw a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify (for formatting and optimization purposes), display, distribute, and make available their content through the Platform for the purposes of operating, promoting, and improving the service.

This license persists for the duration that content remains on the Platform and for a commercially reasonable period after removal (not to exceed 180 days) to allow for complete removal from caches, backups, and content delivery networks. Models may request content removal at any time by contacting support, and the Platform will make commercially reasonable efforts to remove such content in a timely manner.

All Platform branding, design elements, software, trademarks, logos, and other proprietary materials are the exclusive property of PinayKlaw and may not be used, copied, or reproduced without express written permission.

5. Subscriptions and Payments

Certain content and features on the Platform may require a paid subscription or one-time purchase. By subscribing to a model or purchasing content, you agree to pay the stated fees. All payments are processed through our third-party payment providers and are subject to their terms of service.

• Subscription fees are charged on a recurring basis (monthly or as otherwise specified) and will auto-renew unless cancelled before the next billing cycle.
• All payments are final. Refunds are granted solely at the Platform's discretion and only in cases of documented technical errors or billing mistakes. Content consumption or dissatisfaction with content does not constitute grounds for a refund.
• The Platform reserves the right to modify pricing at any time. Price changes for active subscriptions will take effect at the start of the next billing cycle, and you will be notified in advance of any changes.
• Model earnings are paid out according to the Platform's payout schedule and are subject to applicable fees, commissions, and minimum payout thresholds as established by the Platform from time to time.

6. Platform Rights

PinayKlaw reserves the right, at its sole discretion and without prior notice or liability, to:

• Review, moderate, edit, or remove any user-generated content that violates these Terms, applicable laws, or Platform guidelines, without obligation to do so.
• Suspend, restrict, or permanently terminate any user account for any reason, including but not limited to violation of these Terms, suspicious activity, or inactivity.
• Modify, update, or discontinue any feature, functionality, or aspect of the Platform at any time without prior notice.
• Set and enforce limits on Platform usage, including storage limits, upload limits, and messaging frequency.
• Investigate potential violations of these Terms and cooperate with law enforcement authorities in the investigation of suspected criminal activity.
• Take any action deemed necessary to protect the safety, integrity, and security of the Platform and its users.

7. Prohibited Activities

The following activities are strictly prohibited on the Platform and may result in immediate account termination and potential legal action:

• Uploading, sharing, or soliciting content involving minors in any context.
• Uploading or distributing non-consensual intimate imagery or content.
• Using the Platform to engage in or facilitate human trafficking, prostitution, escort services, or any illegal commercial activity.
• Distributing malware, viruses, or any harmful code through the Platform.
• Engaging in phishing, social engineering, or any form of fraud targeting users or the Platform.
• Circumventing or attempting to circumvent paywalls, content protection measures, access controls, or any security features of the Platform.
• Creating multiple accounts or using fake identities to evade bans or manipulate the Platform.
• Soliciting personal information, off-platform transactions, or private meetings from or with other users in violation of Platform guidelines.
• Using the Platform to distribute spam, unsolicited promotions, or commercial solicitations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PINAYKLAW, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

In no event shall the Platform's total aggregate liability to you exceed the amount you have paid to the Platform in the six (6) months immediately preceding the event giving rise to the claim. You acknowledge and agree that this limitation of liability is a fundamental element of these Terms and that the Platform would not provide its services without such limitations.

9. Indemnification

You agree to indemnify, defend, and hold harmless PinayKlaw, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or the rights of any third party; or (d) any content you upload, post, or transmit through the Platform.

10. Termination

We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, at our sole discretion. Upon termination:

• Your right to access and use the Platform will immediately cease.
• Any outstanding subscription fees owed to the Platform remain payable and are non-refundable.
• The Platform may retain your data as described in our Privacy Policy and as required by law.
• Provisions of these Terms that by their nature should survive termination (including but not limited to ownership, limitation of liability, indemnification, and governing law) shall survive.

You may terminate your account at any time by contacting us at info@pinayklaw.com. Account termination does not entitle you to a refund of any previously paid subscription fees.

11. Dispute Resolution

In the event of any dispute arising out of or relating to these Terms or your use of the Platform, you agree to first attempt to resolve the dispute informally by contacting us at info@pinayklaw.com. If the dispute cannot be resolved informally within 30 days, both parties agree to submit the dispute to binding arbitration administered under the laws of the Philippines, with arbitration conducted in the Philippines.

You agree that any dispute resolution proceedings will be conducted on an individual basis only and not as part of any class, consolidated, or representative action. You waive any right to participate in class action lawsuits or class-wide arbitration against the Platform.

12. Changes to These Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. Changes will be effective immediately upon posting the revised Terms on the Platform, and the "Last updated" date at the top will be updated accordingly. It is your responsibility to review these Terms periodically. Your continued use of the Platform after any changes constitutes your binding acceptance of the revised Terms. If you do not agree to the modified Terms, your sole remedy is to discontinue use of the Platform and close your account.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the courts located in the Philippines, and you hereby consent to the personal jurisdiction and venue of such courts.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and PinayKlaw regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
